1. Acceptance of Terms

By accessing or using Cachee.ai ("Service"), a product of Appuix, Inc. ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

• Appuix, Inc.: The parent company operating Cachee.ai and provider of the Service.
• Cachee.ai: The AI-powered enterprise caching platform and associated services.
• Service: The Cachee.ai platform, including all software, APIs, documentation, and support services.
• Customer Data: Any data, content, or materials uploaded, submitted, or transmitted by you to the Service.
• Subscription: Your paid or trial access to the Service under a specific plan.
• Authorized Users: Individuals authorized by you to access the Service under your account.

3. Description of Services

Cachee.ai provides an AI-powered enterprise caching solution that includes:

• Intelligent cache management with predictive algorithms
• Real-time performance optimization and monitoring
• Multi-cloud and edge network integration
• Analytics and reporting dashboards
• API access and integrations
• Technical support and documentation

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, subject to the Service Level Agreement (SLA) for paid subscriptions.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.

4.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring Authorized Users comply with these Terms

4.3 Account Restrictions

You may not:

• Share your account credentials with unauthorized parties
• Create multiple accounts to circumvent subscription limitations
• Use another person's account without permission
• Transfer or sell your account to any third party

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service solely for lawful business purposes in accordance with these Terms and all applicable laws and regulations.

5.2 Prohibited Activities

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service to store, transmit, or distribute malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service, other accounts, or systems
• Reverse engineer, decompile, or disassemble the Service
• Remove, obscure, or alter any proprietary notices on the Service
• Use the Service to compete with Appuix, Inc. or develop competing products
• Overload, flood, or spam the Service infrastructure
• Use automated systems (bots, scrapers) except through approved APIs
• Resell, sublicense, or redistribute the Service without authorization

5.3 Consequences of Violation

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, with or without notice.

6. Subscription and Billing

6.1 Subscription Plans

Cachee.ai offers various subscription plans with different features, usage limits, and pricing. Current plans and pricing are available at cachee.ai/pricing.

6.2 Free Trial

Free trials provide full platform access with no signup required. Trial accounts may have usage limitations and do not include SLA guarantees.

6.3 Billing and Payment

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or specified in the SLA
• You authorize us to charge your payment method automatically for recurring fees
• You are responsible for all applicable taxes
• Failure to pay may result in account suspension or termination

6.4 Price Changes

We may change subscription prices with 30 days' advance notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

6.5 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. No refunds are provided for partial periods.

7. Intellectual Property Rights

7.1 Appuix, Inc. Ownership

The Service, including all software, algorithms, designs, trademarks, patents (pending and granted), and content, is owned by Appuix, Inc. and protected by U.S. and international intellectual property laws. Cachee.ai and its six-module AI caching system are patent-pending technologies of Appuix, Inc.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your subscription term.

7.3 Customer Data

You retain all rights to your Customer Data. By using the Service, you grant us a limited license to access, store, and process Customer Data solely to provide the Service and improve our algorithms (in anonymized, aggregated form).

7.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service become the property of Appuix, Inc. and may be used without compensation or attribution.

8. Data Security and Privacy

8.1 Data Protection

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is completely secure.

8.2 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.3 Data Location

Customer Data may be stored and processed in the United States or other countries where Appuix, Inc. or its service providers operate. By using the Service, you consent to this transfer and processing.

8.4 Data Backup and Recovery

While we maintain regular backups, you are responsible for maintaining your own backups of critical Customer Data.

9. Service Level Agreement (SLA)

9.1 Uptime Guarantee

For paid Enterprise subscriptions, we guarantee 99.9% uptime, calculated monthly excluding scheduled maintenance.

9.2 Scheduled Maintenance

We will provide at least 24 hours' notice for scheduled maintenance that may affect Service availability.

9.3 Support

• Free/Trial: Community support via documentation and forums
• Professional: Email support with 24-hour response time
• Enterprise: 24/7 priority support with dedicated account manager

9.4 SLA Credits

If we fail to meet the uptime guarantee, you may be eligible for service credits as outlined in our SLA documentation.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that the Service will perform substantially in accordance with our documentation under normal use.

10.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, timely, secure, or error-free
• Results obtained from the Service will be accurate or reliable
• Any errors will be corrected
• The Service will meet your specific requirements

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPUIX, INC. SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow limitation of liability for certain damages, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Appuix, Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your Customer Data or content
• Any actions by your Authorized Users

13. Termination

13.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support.

13.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms or our Acceptable Use Policy
• Your account poses a security risk or compromises the Service
• You fail to pay applicable fees
• Required by law or legal process

13.3 Effect of Termination

• Your access to the Service will cease immediately
• We will delete your Customer Data within 30 days unless legally required to retain it
• You remain liable for all fees incurred before termination
• Sections that by their nature should survive (IP, Liability, etc.) will continue

14. Modifications to Terms

We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated via email or Service notification at least 30 days before taking effect.

Your continued use of the Service after modifications take effect constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and cancel your subscription.

15. Governing Law and Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Negotiation: Good faith negotiations for 30 days
2. Binding Arbitration: Individual arbitration under AAA Commercial Arbitration Rules in Delaware

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

15.4 Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts in Delaware.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and SLA, constitute the entire agreement between you and Appuix, Inc. regarding the Service.

16.2 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations to any affiliate or successor.

16.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.

16.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, internet failures, etc.).
