1. Acceptance of Terms

By accessing or using Cachee.ai ("Service"), a product of Appuix, Inc. ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Free trials provide full platform access with no signup required. Trial accounts may have usage limitations and do not include SLA guarantees.

We may change subscription prices with 30 days' advance notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

6.5 Cancellation

You may cancel your subscription at any time. Cancellations take effect at the end of your current billing period. No refunds are provided for partial periods.

7. Intellectual Property Rights

7.1 Appuix, Inc. Ownership

The Service, including all software, algorithms, designs, trademarks, patents (pending and granted), and content, is owned by Appuix, Inc. and protected by U.S. and international intellectual property laws. Cachee.ai and its six-module AI caching system are patent-pending technologies of Appuix, Inc.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during your subscription term.

7.3 Customer Data

You retain all rights to your Customer Data. By using the Service, you grant us a limited license to access, store, and process Customer Data solely to provide the Service and improve our algorithms (in anonymized, aggregated form).

7.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service become the property of Appuix, Inc. and may be used without compensation or attribution.

8. Data Security and Privacy

8.1 Data Protection

We implement industry-standard security measures to protect your data, including encryption, access controls, and regular security audits. However, no system is completely secure.

8.2 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8.3 Data Location

Customer Data may be stored and processed in the United States or other countries where Appuix, Inc. or its service providers operate. By using the Service, you consent to this transfer and processing.

While we maintain regular backups, you are responsible for maintaining your own backups of critical Customer Data.

9. Service Level Agreement (SLA)

9.1 Uptime Guarantee

For paid Enterprise subscriptions, we guarantee 99.9% uptime, calculated monthly excluding scheduled maintenance.

9.2 Scheduled Maintenance

We will provide at least 24 hours' notice for scheduled maintenance that may affect Service availability.

If we fail to meet the uptime guarantee, you may be eligible for service credits as outlined in our SLA documentation.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that the Service will perform substantially in accordance with our documentation under normal use.

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPUIX, INC. SHALL NOT BE LIABLE FOR:

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  1. Informal Negotiation: Good faith negotiations for 30 days
  2. Binding Arbitration: Individual arbitration under AAA Commercial Arbitration Rules in Delaware

You agree to resolve disputes individually and waive any right to participate in class actions or representative proceedings.

For matters not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts in Delaware.

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations to any affiliate or successor.

If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.

16.4 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, war, pandemics, internet failures, etc.).
